2. Services Provided

Exit-Founders provides a variety of digital services and consulting tailored for startups and businesses. These services include, but are not limited to:

• Cloud Credits Provisioning: Facilitating the delivery of activated cloud credits to authorized AWS, Google Cloud, Microsoft Azure, and OVH accounts.
• Company Formation: Assisting in the registration and incorporation of businesses in various jurisdictions.
• Banking Introductions: Assisting formed companies with opening business and operational bank accounts.

3. Account Eligibility and Responsibilities

To use our services, you must satisfy the following criteria and adhere to these responsibilities:

• You must be at least 18 years of age and legally capable of entering into binding contracts.
• You must provide accurate, complete, and current information when making purchases or registering for our services. Failure to do so constitutes a breach of the Terms.
• You are responsible for safeguarding your own cloud provider account credentials and any communications with Exit-Founders regarding your orders.
• You may not use our services for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction (including but not limited to copyright or financial compliance laws).

4. Cloud Credits Provisions & Usage

When purchasing cloud credits through Exit-Founders, the following specific terms apply:

• Delivery Timeframes: Standard delivery of cloud credits to your provider dashboard takes between 24 and 72 hours, pending correct provisioning of your Account ID details.
• Proper Use: You agree to abide by the Acceptable Use Policies of the respective cloud providers (AWS, Google, Microsoft, OVH). We are not responsible if the cloud provider flags, suspends, or terminates your account due to your operational violations.
• Finality of Delivery: Once credits have successfully been deposited and activated inside your cloud provider account, the service is considered fulfilled.

5. Payment and Billing

By making a purchase on Exit-Founders, you agree to our payment rules:

• Accepted Methods: We accept major credit/debit cards via Stripe and major cryptocurrencies (BTC, ETH, USDT, USDC).
• Pricing and Taxes: All fees are stated upfront in US Dollars (USD). Depending on your jurisdiction, appropriate taxes or VAT may be added to the final checkout price.
• Fraud Prevention: We reserve the right to refuse or cancel orders if we suspect fraudulent activity or unauthorized use of payment instruments.

6. Crypto & Compliance

Exit-Founders adheres to strict international compliance standards regarding cryptocurrency transactions and Anti-Money Laundering (AML) regulations:

• Source of Funds: By paying with cryptocurrency, you certify that the funds are derived from legitimate sources and are not the proceeds of any illegal activity.
• KYC/AML Requirements: We reserve the right to request Know Your Customer (KYC) documentation for high-value crypto transactions or if suspicious activity is detected, in compliance with standard AML practices.
• Sanctions Compliance: You confirm that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive financial sanctions.

7. Intellectual Property

The Service and its original content (excluding content provided by users regarding their infrastructure), features, and functionality are and will remain the exclusive property of Exit-Founders and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Termination of Service

We reserve the right to terminate or suspend access to our Service immediately, without prior notice or liability, under the following conditions:

• If you breach these Terms of Service.
• If we are commanded to do so by a legal jurisdiction or public authority.
• If we suspect your purchase is being used to fund illegal enterprises, spam networks, or violations of international sanctions.

Upon termination, your right to use the Service will cease immediately.

9. Limitation of Liability

In no event shall Exit-Founders, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any disruption or suspension of your cloud provider account by AWS, GCP, Azure, or OVH; and (iv) unauthorized access, use or alteration of your transmissions or content.

10. Disclaimers

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Exit-Founders does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; or c) the results of using the Service will meet your specific business requirements.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction where Exit-Founders is registered, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
